Ontario Teachers’ sells veterinary hospital operator, invests in packaging company

KKR & Co. is acquiring PetVet Care Centers from the Ontario Teachers’ Pension Plan and other current shareholders.

PetVet buys and operates veterinary hospitals in 22 states throughout the United States. Ontario Teachers’ originally acquired the company in early 2015.

“PetVet partnered with Ontario Teachers’ because of its deep experience investing in multi-site health-care platforms, and this transaction marks the next stage of our company’s evolution,” said Gino Volpacchio, chair and chief executive officer of PetVet, in a press release “With KKR as our new partner, we look forward to working with their team to realize our vision of making a difference in the lives of our pet patients and pet parents as well as veterinarians and employees.”

The parties didn’t disclose the financial details of the transaction. Ontario Teachers’ acquired its stake in PetVet in early 2015.

Ontario Teachers’ is also taking on an undisclosed number of series B, junior non-voting, convertible preferred stock shares as part of a $850-million recapitalization of SCI PH Inc., a global supplier of packaging products and services that’s the parent company of BWAY Corp. and Mauser.

The recapitalization also includes an issuance of series A, senior non-voting, perpetual preferred stock to a number of other organizations, including affiliates of Canyon Capital Advisors and the Public Sector Pension Investment Board.

Bringing together these partners represents the next step in the evolution of the company as a global leader in the rigid packaging space.”

The capital from the offerings is for general corporate purposes, including distribution to existing equity holders, according to the release.
